DRAFT for the owner's review before publication. Plain-language terms for a small subscription service; have a lawyer read them before relying on them.
These terms govern the use of Gold Management by Kishek International ("the Service"), provided by Kishek International ("we", "us"). By creating an account you agree to them on behalf of your company ("you").
The Service is an online ledger for gold and jewelry wholesalers and retailers: customer and vendor accounts in dollars and gold, memos and invoices, inventory, gold fixing, aging, collections and reports. It is a tool for keeping your books; you remain responsible for the accuracy of what you enter, for your accounting and tax obligations, and for checking figures before relying on them.
You choose who in your company may sign in and with what role. You are responsible for keeping passwords private and for everything done under your users' sign-ins. Tell us at once if you believe an account has been misused.
The Service is sold per company, by the month or by the year, at the prices shown at sign-up. You choose the plan when you sign up and give a payment card then. A free trial of the length shown at sign-up comes first; nothing is charged during the trial, and if you cancel before it ends you pay nothing. When the trial ends your card is charged for the first month or the first year through Stripe, and again at the start of each following month or year until you cancel. You may cancel at any time from the billing page; access continues to the end of the period already paid for, which is not refunded for the remainder. If a payment fails we will tell you and keep your data; after a grace period access is suspended until payment is made.
Everything you enter belongs to you. We use it only to provide the Service and to support you. You can export it to Excel at any time. Each company has its own separate database; no other customer can reach it. We keep daily backups. If you cancel, we keep your data for 90 days so you can export it or come back, then delete it.
We work to keep the Service available at all times but cannot promise uninterrupted service; maintenance and failures happen. We may improve and change the Service; we will not remove a core capability you rely on without notice. We may suspend an account that threatens the security of the Service or other customers.
The Service is provided as is. To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, or losses arising from decisions taken on figures in the Service, and our total liability to you is limited to the fees you paid in the twelve months before the claim.
You may stop at any time. We may end the Service for a company with 60 days' notice, or at once for non-payment or misuse, in each case keeping the data available for export as described above.
These terms are governed by the laws of the State of Michigan, USA. If a part is unenforceable the rest stands. We may update these terms; we will announce material changes in the Service 30 days ahead.
